Terms of Service

1. Acceptance of Terms

By accessing or engaging the services of Portage Now(“Agency”, “We”, “Us”), operating from Greater Noida, Uttar Pradesh, India, you agree to be bound by these Terms of Service and all applicable laws and regulations of India.

2. Scope of Services

Portage Now provides specialized web engineering, high-speed website development, zero-downtime CMS/server migrations, and digital platform optimization. Specific deliverables, timelines, and fees are governed by formal project agreements or statements of work (SOW) executed between the client and Portage Now.

3. Client Responsibilities

• Asset Submissions: Clients must provide required logos, content, copy, or media assets in a timely manner.
• Content Ownership: Clients represent and warrant that all text, graphics, and materials provided to Portage Now do not infringe on any third-party intellectual property or copyrights.
• Server Access: For migration services, clients agree to provide necessary DNS, hosting, or registrar credentials required for seamless transfer.

4. Intellectual Property & Code Ownership

Upon full payment of all agreed project fees, complete intellectual property rights, source code, and custom design assets created specifically for the project transfer to the client. Portage Now retains the right to display completed projects in portfolio showcases unless bound by a prior NDA.

5. Payment Terms & Invoicing

Payments are accepted in INR (Indian Rupee) and USD (United States Dollar) via standard banking channels, UPI, or international wire transfers. Milestone payments, deposit schedules, and final handover terms are detailed in individual project SOWs.

6. Limitation of Liability

To the maximum extent permitted under the Indian Contract Act, 1872, Portage Now shall not be liable for any indirect, incidental, or consequential damages resulting from third-party hosting outages, domain registrar delays, or client-initiated server alterations occurring after final deployment sign-off.

7. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Uttar Pradesh and the Union of India. Any disputes or legal claims arising out of or relating to these terms or our services shall be submitted to exclusive jurisdiction of the competent courts situated in Gautam Buddha Nagar (Greater Noida / Noida), Uttar Pradesh, India.
